End User License Agreement (EULA) — Earthheld

This End User License Agreement (“Agreement”, “EULA”) governs your access to and use of all digital materials provided through the Earthheld platform (“Licensed Materials”).
The Earthheld platform and related services are currently operated by Andrea Rendl GmbH for the continued fulfillment and support of existing Earthheld customers.
By purchasing, accessing, downloading, or using any Licensed Materials, you (“Client”, “you”, “your”) agree to this EULA.
1. Definitions
Licensed Materials: All digital content provided by Earthheld B.V., including but not limited to videos, audio recordings, breathwork tracks, sound healing sessions, PDFs, worksheets, text materials, graphics, downloads, course modules, and any other digital assets.
Company: Andrea Rendl GmbH, operating the Earthheld platform and related services.
Licensee: The individual who purchased or has been granted access to the Licensed Materials.
2. Grant of License
Earthheld B.V. grants you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Licensed Materials solely for your own personal, non-commercial educational use.
No ownership rights are transferred. You receive access rights only.
3. Prohibited Uses
Under this Agreement, you may NOT do any of the following:
- Share, distribute, or upload the Materials to any platform
- Resell, sublicense, or make the Materials available to third parties
- Reproduce or copy the Materials in any format
- Publish or post the Materials online or offline
- Remove copyright or branding from the Materials
- Record sessions or take screenshots for distribution
- Modify, adapt, or create derivative works
- Use any Material to train clients, teach, facilitate sessions, or build your own programs
- Share your login credentials with another person
- Allow others to view, download, or access the Materials through your account
Any violation of these restrictions results in immediate termination of your license.
4. Copyright & Intellectual Property
The Licensed Materials are protected by applicable copyright and intellectual property laws. All rights, titles, and interests in the Licensed Materials remain exclusively with the Company and/or the respective content creators.
Unauthorized use of the Licensed Materials may result in legal action and claims for damages.
5. Account Security & Personal Use
Your login credentials are for your use only. Sharing passwords or granting access to other individuals is strictly prohibited. The Company reserves the right to monitor access and take action if unauthorized use is detected.
6. Termination of License
This license is automatically terminated if you:
- Violate any part of this EULA
- Breach the Terms & Conditions
- Share Materials with others
- Engage in unauthorized distribution
- Use the Materials for commercial or professional purposes
Upon termination, you must immediately:
- Cease all use of the Materials
- Delete all copies in your possession
- Refrain from accessing the platform or content
No refunds will be issued when the license is terminated due to violations.
7. No Professional Use
You may not use the Licensed Materials to:
- Facilitate breathwork or somatic sessions
- Teach workshops or classes
- Train clients or create educational materials
- Incorporate the Materials into your own business or programs
Professional use requires a separate written license agreement with Earthheld B.V.
8. Disclaimer of Warranties
The Licensed Materials are provided “as is” without warranties of any kind, whether express or implied. We do not guarantee any results from using the Materials.
9. Limitation of Liability
To the fullest extent permitted by applicable law:
- The Company is not liable for any damages (direct, indirect, incidental, consequential, physical, emotional, psychological, or financial) arising from access to or use of the Licensed Materials.
- If liability is established, it is limited to the amount paid for the relevant Product or Licensed Material.
10. Indemnification
You agree to indemnify, defend, and hold harmless Earthheld B.V., its owners, employees, contractors, and collaborators from any claims, damages, losses, or liabilities arising from your misuse of the Materials or violation of this Agreement.
11. Governing Law
This EULA is governed exclusively by the laws of The Netherlands. Any disputes will be brought before the competent courts of The Hague, The Netherlands.
12. Updates to This EULA
We may update or modify this Agreement at any time. Continued use of the Licensed Materials constitutes acceptance of the updated EULA.
